1. Agreement to Terms
These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and CTAE Pty Ltd trading as xBloom Australia (“we”, “us”, or “our”), concerning your access to and use of the https://www.xbloom.com.au website and the https://www.xbloom.au website, as well as any associated mobile applications or media channels (collectively, the “Site”).
By accessing the Site, you agree to be bound by all of these Terms of Use. If you do not agree, you are expressly prohibited from using the Site and must discontinue use immediately.
2. Australian Consumer Law Priority
(a) Our goods and services come with statutory guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).
(b) Nothing in these Terms of Use purports to modify, restrict, or exclude any consumer guarantee, right, or remedy implied by law which cannot legally be modified or excluded.
(c) Where you purchase goods or services as a retail consumer, any disclaimers, liability caps, or limitations outlined in these Terms of Use are strictly subject to, and overridden by, your non-excludable rights under the Australian Consumer Law.
3. Retail Sales Only and Reselling Restrictions
(a) This Site is intended strictly for direct-to-consumer retail sales to end-users. We do not accept or process commercial wholesale orders through the e-commerce checkout on this Site.
(b) Any information provided on this Site regarding commercial or wholesale distribution is for informational and inquiry purposes only. Wholesale accounts must be applied for and operated through our separate authorised B2B channels.
(c) We reserve the right, in our sole discretion, to refuse, limit, or cancel any orders placed through this Site that, in our reasonable judgment, appear to be placed by unauthorised dealers, resellers, commercial distributors, or via automated buying bots.
4. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property or licensed to us by our international principal suppliers. This includes all source code, databases, website designs, text, photographs, graphics, and the "xBloom" trademarks and logos ("Marks"). These are protected by copyright, trademark, and unfair competition laws in Australia, international jurisdictions, and global conventions. The Content and Marks are provided on the Site for your information and personal use only. Except as expressly provided in these Terms of Use, no part of the Site, Content, or Marks may be exploited for any unauthorised commercial purpose whatsoever without our express prior written permission.
5. Products, Pricing, and Payment
(a) We make every effort to accurately display the features, specifications, and details of the products available on the Site. However, your electronic display may not perfectly reflect actual colours, details, or dimensions. All products are subject to availability.
(b) All prices listed on the Site are in Australian Dollars (AUD) and are inclusive of GST unless otherwise explicitly stated.
(c) The Price payable for any product will be the current price listed on the Site at the exact time the order is submitted. We reserve the right to modify our listed prices at any time without notice, but price changes will never apply retrospectively to an order that has already been accepted.
(d) We accept payment via Visa and Mastercard. You warrant that you are fully authorised to use the payment method provided.
6. Prohibited Activities
You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:

7. User-Generated Contributions & Reviews
(a) If you submit reviews, comments, or suggestions ("Contributions") to us or the Site, you warrant that your Contributions are accurate, not misleading, and do not violate the intellectual property or privacy rights of any third party.
(b) You retain ownership of your Contributions. However, by posting them, you grant us a perpetual, non-exclusive, worldwide, royalty-free, assignable, and sublicensable license to use, reproduce, modify, and distribute that content across our marketing channels. We reserve the right to remove or edit reviews at our sole discretion.
8. Third-Party Websites and Content
The Site may contain links to other websites ("Third-Party Websites") as well as articles, photographs, or designs originating from third parties. Such Third-Party Websites are not monitored for accuracy or completeness by us. We take no responsibility for any purchases or interactions you have with Third-Party Websites, which are exclusively between you and the applicable third party.
9. Site Management and Termination
We reserve the right, but not the obligation, to monitor the Site for violations of these Terms of Use and take appropriate legal action against anyone who violates the law or these terms. We may suspend or terminate your account or restrict your access to the Site at our sole discretion, acting reasonably, if you commit a material breach of these terms or engage in illegal or fraudulent activity.
10. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We cannot guarantee the Site will be available at all times, and we may experience hardware or software maintenance windows resulting in temporary delays or errors. You agree that we have no liability for any inconvenience caused by your inability to access the Site during routine or emergency downtime.
11. Dispute Resolution
(a) Informal Negotiations: To expedite resolution and control costs, both you and us agree to first attempt to negotiate any dispute or claim informally for at least thirty (30) days before commencing formal court proceedings.
(b) Jurisdiction: If a dispute cannot be resolved informally, both parties submit to the non-exclusive jurisdiction of the courts of Queensland, Australia, and any courts competent to hear appeals from them.
12. Disclaimers and Limitation of Liability
(a) Subject always to your statutory rights under the Australian Consumer Law, this Site and all marketplace offerings are provided on an "as-is" and "as-available" basis for your use.
(b) To the maximum extent permitted by law, we disclaim all express or implied warranties not required by statute, including implied warranties of merchantability or fitness for a particular purpose.
(c) To the maximum extent permitted by law, and subject always to Clause 2 (Australian Consumer Law Priority), neither we nor our directors, employees, or agents will be liable to you for any indirect, incidental, special, or consequential damages—including lost profit, lost revenue, or loss of data—arising out of your use of the Site or products purchased through it. Our total liability for any claim not governed by statutory consumer guarantees will be capped at the total amount paid by you to us for the specific product in question.
13. Miscellaneous
(a) Amendments: We reserve the right to amend these Terms of Use from time to time. Any changes will apply immediately to your subsequent use of the Site upon posting. The terms active at the exact moment a purchase is finalised will govern that specific transaction.
(b) Severability: If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that specific part will be severed and will not affect the validity and enforceability of the remaining clauses.
(c) Governing Law: These Terms of Use shall be governed by and construed in accordance with the laws of Queensland, Australia.
